Rep Portal Terms of Service
Last updated: November 7, 2026
Quick summary. Quay: B2B Sales Rep Portal lets the sales reps you invite place orders for your B2B companies in your Shopify store. By installing it, you agree to these terms. Billing is through Shopify, and you can cancel from your Shopify admin at any time. The orders your reps place are your orders to your customers: you decide who gets access and to which companies.
These terms cover the Rep Portal only. Quay: B2B Credit Limits, our other app, has its own terms.
The Rep Portal is operated by Andrei Markov, an individual entrepreneur registered in Georgia, trading as “Simple Business”. Contact: hello@quayhq.com.
1. Acceptance
You accept these terms by installing the Rep Portal. If you don't accept, don't install or use the service. "You" means the merchant whose Shopify store installs the app; "reps" means the people you invite to its portal, including those you make managers.
2. The service
The Rep Portal provides:
- A page in your Shopify admin where you invite reps by email, assign them the B2B companies they look after, make a rep a manager, and deactivate a rep.
- A portal at your store's address. A rep signs in with a link we email them and orders for their assigned companies at the prices in your Shopify B2B catalogs. A manager can order for every company.
- Orders in your Shopify store, on the location's payment terms if it has any. Depending on your setting, Shopify either emails the buyer an invoice to pay, or creates the order right away as unpaid.
- A sales report for each rep. On the Growth and Pro plans, you can also download it as a CSV file.
- Permission to order for your company contacts: if no contact at a location can place orders, the app gives that permission to the company's main contact (or, if there is none, its first contact) when a rep orders there. You can also pick the contact yourself.
The Rep Portal doesn't:
- Process payments, hold buyer funds, or act as a payment gateway. Payment happens in Shopify.
- Set prices, discounts or payment terms. It uses the ones in your Shopify store.
- Calculate or pay commissions.
- Employ, vet or supervise your reps.
3. Subscription and fees
- Billing. Shopify bills all charges, and they appear on your Shopify invoice. We never bill you outside Shopify.
- Plans. A free plan and three paid plans (Starter, Growth, Pro), which differ in how many reps and companies they cover; the Growth and Pro plans add the CSV download. To see current prices and limits, open Plan in the app and click Change plan. Any free trial of a paid plan is shown on Shopify's plan page before you approve the charge.
- Plan changes. You can upgrade, downgrade, or cancel from your Shopify admin at any time. If your new plan covers fewer reps or companies than you have, the app deactivates the reps over the limit, removes the extra companies from your reps, and tells you which.
- Refunds. We don't issue refunds directly. Refunds are handled by Shopify under Shopify's billing terms.
- No cut of your sales. We never take a share of the orders your reps place. Our only revenue is the plan you choose.
4. Acceptable use
You agree that you will not:
- Use the Rep Portal to violate any law in your jurisdiction or your buyers'.
- Reverse-engineer, decompile, or attempt to extract source code or secrets from the service.
- Copy data from the service with bots or scripts, or try to overload it.
- Share a rep's sign-in links with anyone other than that rep, or invite people to the portal who are not authorized to act for your store.
- Attempt to access data of other Shopify merchants.
5. Merchant responsibilities
You are responsible for:
- Who you invite and what they can do. A rep sees the locations of their assigned companies (city, region and country), their payment terms, prices and orders, and can order for them in your store. A manager can do this for every company. Orders your reps place are orders from your store to your customers. Deactivate a rep in the app when they should no longer have access: they lose access to the portal at once.
- Your agreement with your reps. Commissions, targets, employment and anything else between you and your reps is yours to agree. The sales report is information for you, not a statement of what anyone is owed.
- Your Shopify data. The portal shows the companies, locations, catalogs, prices, stock and payment terms in your Shopify store. If something there is wrong, the portal shows it wrong too, so fix it in Shopify.
- Your buyers. The invoice a buyer receives comes from Shopify in your store's name; we send buyers no email of our own. What you and your reps agree with your buyers is between you and them.
- The right to share your customers' details with your reps. You confirm that you may let your reps see and order for the companies you assign them, as described above.
6. Data and intellectual property
- Your data. Everything stored about your store, your reps, your customers, your orders, and your settings remains yours. We receive a license to process it solely to operate the service.
- Our intellectual property. The Rep Portal, its source code, design, branding, and documentation are owned by us. Installing it doesn't transfer ownership of any of it.
- Feedback. If you send us product feedback or suggestions, we may use them without obligation or attribution.
See the Rep Portal Privacy Policy for full details on how data is processed.
7. Availability
The Rep Portal is provided on an "as available" basis. We aim to keep it running at all times, but we don't guarantee a specific uptime and don't give credits for downtime. Maintenance, server incidents and Shopify problems outside our control may make it briefly unavailable. While the portal is unavailable, your reps can't order through it; your Shopify store and its own ways of taking orders keep working.
8. Disclaimer
The service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the service will be error-free or uninterrupted, or that defects will be corrected.
9. Limitation of liability
To the maximum extent permitted by law, our total cumulative liability for any and all claims arising out of or relating to these terms or the service is limited to the greater of (a) the fees you paid us in the twelve months preceding the claim, or (b) USD $100.
We are not liable for:
- Lost profits, lost revenue, lost data, business interruption, or any indirect, incidental, special, or consequential damages.
- Orders your reps place, and what you pay your reps.
- Issues caused by Shopify, your reps, your buyers, or other third parties.
Some jurisdictions don't allow the limitations above; in those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
10. Indemnification
You will defend, indemnify, and hold us harmless against any third-party claim arising from your use of the service in violation of these terms or applicable law, including claims by your reps or your buyers about orders placed through the portal or about what you pay your reps.
11. Termination
- You can terminate at any time by uninstalling the app from your Shopify admin. Your reps lose access to the portal at once. Your subscription stops per Shopify's billing terms.
- We may terminate for material breach (for example, violation of Section 4: Acceptable use), failure to pay through Shopify, or if Shopify removes the app.
- Surviving sections. Sections 6 (Data and intellectual property), 8 (Disclaimer), 9 (Limitation of liability), 10 (Indemnification), and 14 (Governing law) survive termination.
After termination, see the Rep Portal Privacy Policy, Section 7, for what is retained and for how long.
12. Changes to these terms
We will post material updates to this page and update the "Last updated" date. For substantive changes that affect installed merchants, we'll write to the store owner's email address before the changes take effect.
13. Entire agreement
These terms, together with the Rep Portal Privacy Policy, constitute the entire agreement between you and us regarding the Rep Portal. If any provision is unenforceable, the remaining provisions stay in effect.
This entire agreement, including the Rep Portal Privacy Policy, constitutes the written processing agreement under GDPR Article 28 between us (as processor) and you (as controller). Processing-specific terms are set out in Section 1 of the Rep Portal Privacy Policy.
14. Governing law
These Terms are governed by the laws of Georgia (the country, not the U.S. state), excluding its conflict-of-law rules, and the courts of Tbilisi, Georgia have exclusive jurisdiction over any dispute arising from them.
