Terms of Service

Quick summary. Quay is a B2B credit management app for Shopify wholesale stores. By installing it from the Shopify App Store, you agree to these terms. Billing is through Shopify; you can cancel from your Shopify Admin at any time. Credit-extension risk is yours — Quay enforces what you configure but does not assess buyer creditworthiness or guarantee payment.

1. Acceptance
You accept these terms by installing Quay from the Shopify App Store. If you do not accept, do not install or use the service.
2. The service
Quay provides:
- Per-company credit limits for your B2B customers and assignment of one of five policy presets (Standard, Trusted, VIP, Probation, or High Risk).
- Enforcement at Shopify checkout: a Cart Validation Function that can block checkout for companies on credit hold, and removal of deferred net-terms payment options (via Shopify's Admin API) so an over-limit buyer pays on order.
- An Accounts Receivable (AR) aging dashboard for the merchant.
- A Customer Account UI Extension that shows a buyer a banner in their Shopify customer account, at the company level, when their company is over its limit or on credit hold — explaining the restriction and who to contact.
Quay does not:
- Process payments, hold buyer funds, or act as a payment gateway.
- Extend credit, lend money, run credit checks, or guarantee buyer payment. Credit-extension decisions and the financial risk that flows from them are yours.
- Communicate directly with your buyers without your configuration. Reminder emails are deferred to a future version (V1.1) and are not sent today.
Fail-open design. If Quay's enforcement function fails or its data is missing, checkout proceeds — the order is allowed through and we emit an alert. Blocking your buyers' checkouts because of a Quay bug is worse than letting one over-limit order through. You accept that enforcement is best-effort and not a transactional guarantee.
3. Subscription, fees, and trial
- Billing. All charges are billed through Shopify's official billing (Shopify Managed Pricing). Charges appear on your Shopify invoice. We do not bill you directly outside Shopify.
- Plans. Three plans — Starter, Growth, Scale — gated by the number of B2B companies under enforcement. Current pricing is listed at quayhq.com/#pricing and on the Shopify App Store listing.
- Free trial. Every plan includes 14 days of full-feature access. If you do not cancel before the trial ends, Shopify auto-charges the plan price.
- Plan changes. You can upgrade, downgrade, or cancel from your Shopify Admin at any time. No support contact required.
- Refunds. We do not directly issue refunds. Refunds are handled by Shopify under Shopify's billing terms.
- No payment-processing markup. We never take a cut of your sales or your accounts receivable. Our only revenue is the subscription you choose.
4. Acceptable use
You agree that you will not:
- Use Quay to violate any law, including consumer-credit, tax, sanctions, or anti-money-laundering law in your jurisdiction or your buyers'.
- Reverse-engineer, decompile, or attempt to extract source code or secrets from the service.
- Scrape, automate non-API access, or attempt to overload our infrastructure.
- Share your Shopify access tokens or credentials with parties not authorized to use your store.
- Attempt to access data of other Shopify merchants. (This is also blocked at the database layer; see Privacy Policy Section 10.)
5. Merchant responsibilities
You are responsible for:
- The credit limits you set. Quay enforces what you configure. We do not assess buyer creditworthiness, run credit checks, or make lending decisions on your behalf. If you choose to extend large credit lines to risky buyers, that is your decision.
- Communication with your buyers. The block message shown at checkout is configurable by you, in your tone, with your contact information.
- Tax, regulatory, and consumer-credit compliance. Different jurisdictions regulate B2B credit terms differently. You are responsible for ensuring your credit terms comply with applicable law.
- Accuracy of company-level data in Shopify. If a company in your Shopify Companies list has incorrect contact information or incorrect payment terms, Quay will use what is there.
- Reviewing payment terms set in Shopify. Quay reads payment terms from Shopify; if you change them, the AR aging calculation updates accordingly.
6. Data and intellectual property
- Your data. Everything stored about your store, your customers, your companies, your orders, and your settings remains yours. Quay receives a license to process it solely to operate the service.
- Quay's intellectual property. The Quay app, its source code, design, branding, and documentation are owned by us. Installing Quay does not transfer ownership of any of it.
- Feedback. If you send us product feedback or suggestions, we may use them without obligation or attribution.

7. Availability
Quay is provided on an "as available" basis. We aim for high uptime but do not guarantee any specific availability percentage and do not offer service-level credits. The app is operated by a small team (currently a solo founder); maintenance windows, infrastructure incidents, and platform issues outside our control may temporarily affect availability.
We aim to:
- Keep the embedded admin and webhooks responsive at p95 below 1 second under normal load.
- Process Shopify webhooks within their 5-second retry window.
- Keep the Cart Validation Function within the under-5 millisecond per-invocation budget Shopify imposes.
If we miss these targets, the impact is service quality, not refundable downtime.
8. Disclaimer
The service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free or uninterrupted, or that defects will be corrected.
9. Limitation of liability
To the maximum extent permitted by law, our total cumulative liability for any and all claims arising out of or relating to these terms or the service is limited to the greater of (a) the fees you paid us in the twelve months preceding the claim, or (b) USD $100.
We are not liable for:
- Lost profits, lost revenue, lost data, business interruption, or any indirect, incidental, special, or consequential damages.
- Decisions you make about extending credit to your buyers and the financial consequences of those decisions.
- Issues caused by Shopify, your buyers, your buyers' banks, or other third parties.
Some jurisdictions do not allow the limitations above; in those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
10. Indemnification
You will defend, indemnify, and hold harmless Quay against any third-party claim arising from your use of the service in violation of these terms or applicable law, including claims by your buyers related to credit-extension decisions you made.
11. Termination
- You can terminate at any time by uninstalling the app from your Shopify Admin. Your subscription stops at the end of the current billing period per Shopify's billing terms.
- We may terminate for material breach (for example, violation of Section 4 — Acceptable Use), failure to pay through Shopify, or if Shopify removes us from the App Store.
- Surviving sections. Sections 6 (Data and IP), 8 (Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), and 14 (Governing Law) survive termination.

12. Changes to these terms
We will post material updates to this page and update the "Last updated" date. For substantive changes that affect installed merchants, we will notify you through the in-app banner before the changes take effect.
13. Entire agreement
These terms, together with the Privacy Policy and the Shopify Partner Program agreement that governs all apps on the platform, constitute the entire agreement between you and Quay regarding the service. If any provision is unenforceable, the remaining provisions stay in effect.
This entire agreement, including the Privacy Policy, constitutes the written processing agreement under GDPR Article 28 between Quay (as processor) and you (as controller). Processing-specific terms — including documented instructions, subprocessor authorization, and staff confidentiality — are set out in the Privacy Policy §1.
14. Governing law
These Terms are governed by the laws of Georgia (the country, not the U.S. state), excluding its conflict-of-law rules, and the courts of Tbilisi, Georgia have exclusive jurisdiction over any dispute arising from them.
